Havi Digital provides digital strategy, web design, development, and growth marketing services as defined in your specific Statement of Work (SOW) or proposal. Any work outside the agreed-upon deliverables will be quoted separately as an out-of-scope addition or project amendment.

To ensure project milestones and deadlines are met, clients agree to provide necessary assets, brand guidelines, access credentials, and timely feedback within agreed review windows. Delays in feedback or approvals may naturally extend delivery schedules.

Invoices are issued according to the billing schedule outlined in your project agreement. Payments are due within 14 calendar days of issuance unless otherwise agreed in writing. Work on subsequent milestones or final asset releases may pause until outstanding balances are cleared.

Because digital design and development require dedicated resource scheduling, initial deposits and fees for completed milestones are non-refundable. Either party may cancel the engagement with 14 days written notice, with payment due for all hours logged or deliverables produced up to that date.

Upon receipt of full payment, full ownership and commercial rights to final custom deliverables (including custom design files and code) transfer to the client. Havi Digital retains ownership of pre-existing proprietary frameworks, internal tools, and the right to showcase completed work in our professional portfolio.

Both parties agree to treat all shared business data, customer records, technical systems, and strategic plans as strictly confidential. Confidential information will not be disclosed to any third party without prior written consent, surviving the completion or termination of this agreement.

Our deliverables may integrate with or recommend third-party platforms, hosting providers, APIs, or software licenses (e.g., domain registrars, payment gateways, analytics tools). While we vet tools carefully, Havi Digital is not responsible for the independent performance, security changes, or uptime of external providers.

To the maximum extent permitted by applicable law, Havi Digital's total aggregate liability for any claims arising from our engagement is strictly limited to the total fees paid by the client under the applicable statement of work in the preceding three months. Neither party shall be liable for indirect or consequential damages.

Either party may terminate the agreement immediately if the other party commits a material breach that remains uncured after 14 days of written notice. Upon termination, the client will receive all completed work paid for to date, and any outstanding invoices become immediately payable.
